REFUND AND CANCELLATION POLICY
This Refund and Cancellation Policy ("Policy") forms an integral part of the Terms of Service of PropaTrade Education Private Limited, a company incorporated under the Companies Act, 2013, bearing CIN: U85500AP2026PTC125374, having its registered office at Flat No 501, Sai Krupa Residency, Tirupati, Andhra Pradesh 517501, India ("PropaTrade," "Company," "we," "us," or "our").
This Policy governs the limited circumstances under which refunds of Commitment Fees may be considered within the context of the independent contractor engagement between PropaTrade and its Research Contractors ("Contractors"). The relationship between PropaTrade and Contractors is governed by the Indian Contract Act, 1872, and the Consumer Protection Act, 2019 does not apply to this engagement.
1. SCOPE AND APPLICABILITY
1.1 This Policy applies to all Commitment Fee payments made in connection with PropaTrade's Simulated Proprietary Research and Stipend Program (SPRSP), including Evaluation phase fees and any associated program add-ons (e.g., Boost).
1.2 All payments are processed through Easebuzz and Yes Bank UPI, or via direct bank transfer (NEFT/RTGS/IMPS) to PropaTrade's designated bank account. This Policy is subject to the payment processing terms of the applicable payment service provider.
1.3 By paying a Commitment Fee, you acknowledge that you have read, understood, and agree to this Policy as part of your contractor engagement with PropaTrade.
2. NATURE OF THE COMMITMENT FEE
2.1 The Commitment Fee is a contractor onboarding and training fee payable as part of the Evaluation phase of the SPRSP. It covers platform access, training tools, assessment infrastructure, and administrative costs associated with onboarding.
2.2 The Commitment Fee is NOT a consumer product purchase price, subscription fee, deposit, or investment. It is a fee associated with the independent contractor engagement and onboarding process.
2.3 Upon payment of the Commitment Fee:
(a) The Contractor's Udaan platform account is activated;
(b) Virtual Capital is allocated for the Evaluation phase;
(c) Access to the simulated trading environment and assessment tools is provided;
(d) The Evaluation phase commences in accordance with the Terms of Service.
2.4 The services and access covered by the Commitment Fee commence immediately upon account activation, and the fee is deemed earned by PropaTrade upon such activation.
3. GENERAL RULE — NON-REFUNDABLE
3.1 The Commitment Fee is non-refundable as a general rule. By paying the Commitment Fee, the Contractor acknowledges that the fee represents consideration for platform access, training tools, assessment services, and administrative costs incurred by PropaTrade, and that these services commence immediately upon activation.
3.2 Refunds are considered only in the limited, exceptional circumstances described in Sections 4 through 8 below, and all refund decisions are at PropaTrade's sole and absolute discretion.
4. SPECIAL CIRCUMSTANCE REFUND (48-HOUR WINDOW)
4.1 In exceptional circumstances, PropaTrade may, at its sole discretion, consider refund requests submitted within forty-eight (48) hours of account creation where no trades have been placed on the Contractor's account.
4.2 Eligibility conditions:
(a) The refund request must be submitted within forty-eight (48) hours of account creation;
(b) No trades of any kind have been placed on the Contractor's Udaan account;
(c) The Contractor has not accessed trading tools beyond initial account setup;
(d) The request is submitted in writing to [email protected] with the subject line "Refund Request — [Order ID]."
4.3 Such refunds are NOT guaranteed and are assessed on a case-by-case basis as a goodwill gesture. PropaTrade reserves the right to deduct applicable fees, processing costs, GST, and administrative charges from any refund amount granted.
4.4 This provision does not create an automatic right, entitlement, or obligation. PropaTrade may decline any request under this provision without providing reasons.
4.5 This provision does not apply where:
(a) The Contractor has placed any trade on the account;
(b) The Contractor has accessed trading tools beyond initial account setup;
(c) PropaTrade has reason to believe the refund request is made in bad faith;
(d) The Contractor has previously received a refund under this provision.
5. DUPLICATE PAYMENT OR TECHNICAL ERROR
5.1 In the event of a provable duplicate charge or technical payment error resulting in an excess payment, PropaTrade shall process a refund of the duplicated or excess amount within seven (7) business days of verification.
5.2 The Contractor must provide documentary evidence of the duplicate or erroneous charge, including transaction receipts, bank statements, or payment confirmation screenshots.
6. PLATFORM OUTAGE
6.1 No refund or compensation shall be payable for platform outages, service interruptions, or unavailability lasting up to thirty (30) consecutive days.
6.2 In the event of a continuous platform outage lasting sixty (60) or more consecutive days, PropaTrade may, at its sole discretion, consider a partial refund for affected Contractors, provided that:
(a) The Contractor has maintained a clean compliance record with no Trading Rule violations;
(b) The outage was not caused by or contributed to by the Contractor's actions;
(c) The Contractor submits a written request within fourteen (14) days of the end of the outage.
6.3 Any refund granted under this provision is discretionary and does not create a precedent or obligation.
7. REFUND ELIGIBILITY FOR CONSULTANT ACCOUNT HOLDERS
7.1 Material Rule Changes
7.1.1 If PropaTrade makes a material adverse change to the Trading Rules, Stipend Share tiers, or other material terms that significantly and negatively affects the Contractor's engagement, a Contractor holding an active Consultant Account may request a discretionary refund, subject to the following conditions:
(a) The Contractor has maintained a clean compliance record;
(b) The Contractor's Virtual Capital balance is equal to or greater than the initial Virtual Capital allocated;
(c) The request is submitted within thirty (30) days of the date of notice of the material change;
(d) The determination of whether a change is "material adverse" is at PropaTrade's sole discretion.
7.1.2 This provision applies exclusively to Contractors holding active Consultant Accounts at the time of the material change. It does not apply to Contractors in the Evaluation phase, Contractors whose engagement has ended, or Contractors who have failed or been terminated.
7.2 Regulatory or Force Majeure Suspension
7.2.1 If PropaTrade is required to suspend operations by order of SEBI, the Government of India, or any other governmental or regulatory authority, and such suspension results in the permanent discontinuation of the SPRSP, PropaTrade may, at its sole discretion, consider refunds for affected Contractors with active Consultant Accounts, provided that:
(a) The Contractor has maintained a clean compliance record;
(b) The Contractor's Virtual Capital balance is equal to or greater than the initial Virtual Capital allocated;
(c) The Commitment Fee was paid within the sixty (60) days immediately preceding the date of the suspension order.
7.2.2 Any refund under this provision is discretionary and does not create a precedent or obligation.
8. NON-REFUNDABLE SCENARIOS
8.1 No refund shall be provided in the following circumstances:
(a) Post-Activity: Once any trading activity (including placing a single trade) has occurred on the Contractor's Udaan account;
(b) Evaluation Failure: The Contractor fails to meet the Evaluation criteria or profit targets within the prescribed duration;
(c) Risk Limit Breach: The Contractor's account is breached due to violation of daily loss limits, maximum loss limits, or other risk parameters (trading is disabled but no refund is payable);
(d) Termination for Cause: The Contractor's engagement is terminated due to violation of the Terms of Service, Prohibited Trading Practices, fraud, or integrity violations;
(e) Voluntary Withdrawal: The Contractor voluntarily withdraws from the program after commencing trading activity;
(f) Inactivity: The account is disabled due to inactivity (ninety (90) or more consecutive days without trading activity);
(g) Incorrect Information: The Contractor provides incorrect, incomplete, or misleading personal or KYC information;
(h) Change of Mind: The Contractor changes their mind about participation after services have commenced;
(i) Market Conditions: Market conditions, volatility, or technical characteristics of simulated trading that affect trading outcomes;
(j) Third-Party Failures: Failures attributable to Easebuzz, Yes Bank, the Contractor's bank, internet service provider, or device;
(k) Evaluation Duration Expiry: The Evaluation period (90 calendar days Phase 1 + 45 calendar days Phase 2) expires without the Contractor meeting all criteria.
9. CANCELLATION
9.1 Cancellation Before Payment
9.1.1 Contractors may withdraw their application at any point before completing Commitment Fee payment. No charges shall apply.
9.2 Cancellation After Payment
9.2.1 Cancellation after payment is treated as a refund request and is subject to the eligibility criteria in Sections 4 through 7 above.
9.3 Engagement Termination
9.3.1 Contractors wishing to terminate their engagement entirely must submit a request in writing to [email protected]. Termination of the engagement does not entitle the Contractor to a refund of any Commitment Fees paid.
10. REFUND PROCESS AND TIMELINES
10.1 How to Request a Refund
10.1.1 Submit a refund request via email to [email protected] with the following details:
(a) Full name (as registered on the Platform);
(b) Registered email address;
(c) Order ID / Transaction ID;
(d) Date of payment;
(e) Amount paid;
(f) Reason for refund request and applicable provision under this Policy;
(g) Any supporting documentation.
10.2 Acknowledgement
10.2.1 PropaTrade shall acknowledge receipt of the refund request within a reasonable time.
10.3 Review and Decision
10.3.1 PropaTrade shall review the refund request and communicate the decision within seven (7) business days from the date of acknowledgement.
10.4 Refund Processing
10.4.1 If the refund is approved:
(a) The refund shall be processed within five to seven (5–7) business days from the date of approval;
(b) The refund shall be credited to the original payment method used for the Commitment Fee payment;
(c) Refund processing timelines may vary depending on the Contractor's bank or payment provider (typically 5–10 business days for the amount to reflect);
(d) PropaTrade shall not be liable for delays caused by Easebuzz, Yes Bank, the Contractor's bank, or other payment intermediaries.
10.5 Partial Refunds
10.5.1 In exceptional circumstances, PropaTrade may, at its sole discretion, offer a partial refund. Any partial refund shall be net of applicable fees, processing costs, GST, and administrative charges.
11. GST IMPLICATIONS ON REFUNDS
11.1 Where a refund is processed:
(a) The GST component of the refund shall be adjusted in accordance with the provisions of the Central Goods and Services Tax Act, 2017, and the respective State/Integrated GST Acts;
(b) A credit note shall be issued in accordance with Section 34 of the CGST Act, 2017;
(c) The refund amount shall include the GST component paid by the Contractor.
12. CHARGEBACKS AND DISPUTES
12.1 The Contractor shall not initiate chargebacks or payment disputes with their bank, card issuer, or payment provider in respect of any Commitment Fee or other payment made to PropaTrade.
12.2 Consequences of Chargeback. Initiating a chargeback or payment dispute shall result in:
(a) Immediate termination of the Contractor's engagement;
(b) Forfeiture of all pending and future Research Stipends;
(c) PropaTrade's right to pursue legal recovery of all amounts owed, including the charged-back amount, costs, fees, and penalties incurred, and any Research Stipends previously paid.
12.3 Accidental Chargebacks. If a chargeback is initiated accidentally or without the Contractor's authorisation:
(a) The Contractor must immediately contact PropaTrade's Grievance Officer at [email protected] to report the accidental chargeback;
(b) The Contractor must take all necessary steps to withdraw the chargeback within thirty (30) to forty-five (45) days of notification;
(c) The Contractor may be required to pay verification fees associated with the chargeback resolution process;
(d) Reactivation of the Contractor's account following an accidental chargeback is at PropaTrade's sole discretion and may require a verification and review period of thirty (30) to forty-five (45) business days, or longer depending on the payment channel and third-party processing timelines;
(e) PropaTrade is under no obligation to reactivate any account following a chargeback, regardless of the reason.
12.4 The Contractor must exhaust the grievance redressal process set out in the Terms of Service and the Grievance Redressal Policy before initiating any chargeback, payment dispute, or legal action.
13. EXCHANGE / UPGRADE
13.1 PropaTrade does not offer exchanges of program tiers. Contractors wishing to participate in a different Virtual Capital tier must submit a new application and pay a new Commitment Fee.
13.2 Upgrade options (such as adding the Boost program) may be available at PropaTrade's discretion and shall be subject to separate pricing and terms.
14. DISPUTE RESOLUTION FOR REFUND ISSUES
14.1 If you are dissatisfied with the outcome of your refund request, you may:
(a) Escalate the matter to the Grievance Officer:

(b) Initiate arbitration in accordance with the Arbitration and Conciliation Act, 1996, with the seat of arbitration at Tirupati, Andhra Pradesh, as set out in the Terms of Service.
14.2 The Contractor must exhaust the internal grievance redressal process before initiating any external dispute resolution proceedings.
15. LIMITATION OF LIABILITY
15.1 PropaTrade's total aggregate liability in connection with any refund claim shall not exceed the lesser of:
(a) The total Commitment Fees actually paid by the Contractor to PropaTrade in the six (6) months immediately preceding the event giving rise to the claim; or
(b) INR 10,000 (Indian Rupees Ten Thousand).
