ACCEPTABLE USE POLICY
This Acceptable Use Policy ("AUP" or "Policy") governs the use of the Udaan simulated trading platform and related services provided by PropaTrade Education Private Limited, a company incorporated under the Companies Act, 2013, bearing CIN: U85500AP2026PTC125374, having its registered office at Flat No 501, Sai Krupa Residency, Tirupati, Andhra Pradesh 517501, India ("PropaTrade," "Company," "we," "us," or "our").
This Policy is incorporated into and forms part of the Terms of Service. By accessing or using the Udaan platform, you ("Contractor," "Research Contractor," or "You") agree to comply with this Policy as part of your independent contractor engagement with PropaTrade under the Indian Contract Act, 1872.
1. PERMITTED USES
1.1 The Udaan platform is intended solely for the following purposes within the contractor engagement:
(a) Simulated trading research as part of PropaTrade's Simulated Proprietary Research and Stipend Program (SPRSP);
(b) Evaluation phase activities — demonstrating trading competency during the probationary training period;
(c) Consultant Account activities — conducting simulated trading research as an active Research Contractor;
(d) Accessing educational content, training materials, and resources provided by PropaTrade;
(e) Managing your contractor account through the dashboard.
1.2 You may use the Platform only for your own contractor engagement. The services are not licensed for commercial redistribution, resale, or sublicensing.
2. PROHIBITED ACTIVITIES
2.1 General Prohibitions
You shall NOT:
(a) Use the Platform for any unlawful purpose or in violation of any applicable law, including the Information Technology Act, 2000, the Bharatiya Nyaya Sanhita, 2023, SEBI regulations, PMLA 2002, or FEMA 1999;
(b) Engage in any activity that constitutes fraud, misrepresentation, identity theft, or impersonation;
(c) Use the Platform to launder money, finance terrorism, or facilitate any financial crime;
(d) Use the Platform in a manner that could damage, disable, overburden, or impair the Platform or interfere with any other Contractor's use;
(e) Attempt to gain unauthorised access to any systems, servers, networks, or databases connected to the Platform;
(f) Use the Platform to collect, harvest, or compile information about other Contractors without their consent;
(g) Upload, transmit, or distribute any viruses, worms, Trojan horses, malware, ransomware, or other harmful code;
(h) Use the Platform to send unsolicited communications, spam, or promotional materials;
(i) Interfere with or circumvent any security features, access controls, or usage restrictions of the Platform;
(j) Use the Platform to defame, harass, abuse, threaten, intimidate, or stalk any person.
2.2 Prohibited Trading Practices
The following trading practices are strictly prohibited on the Udaan platform and constitute grounds for immediate termination of the contractor engagement. PropaTrade reserves the right to determine whether any activity constitutes a Prohibited Trading Practice, acting reasonably and in good faith with reference to objective criteria.
2.2.1 Cross-Account Activities
(a) Hedging / Opposite Positions Across Accounts: Opening opposite (buy and sell) positions on the same instrument across multiple PropaTrade accounts, whether held by the same Contractor or different Contractors, to guarantee profit regardless of market direction;
(b) Coordinated Trading: Coordinating trades with other Contractors to create artificial outcomes, manipulate performance metrics, or circumvent Trading Rules;
(c) Copy Trading Between Accounts: Replicating or mirroring trades across multiple PropaTrade accounts, whether manually or through automated means;
(d) Multiple Accounts: Holding or operating multiple accounts without express written authorisation from PropaTrade.
2.2.2 Exploitation and Manipulation
(a) Exploiting Platform Vulnerabilities: Capitalising on data feed delays, price display inaccuracies, server errors, bugs, glitches, or any technical fault in the Udaan platform;
(b) Latency Arbitrage: Exploiting latency differences between the Platform's data feed and real-time market data or external data sources;
(c) Reverse Engineering: Reverse engineering, decompiling, disassembling, or otherwise attempting to derive the source code, algorithms, or underlying logic of the Udaan platform;
(d) Unauthorised Tools: Using external tools, software, plugins, or scripts to interact with the Udaan platform in any unauthorised manner.
2.2.3 Automated Trading and Bots
(a) Unauthorised Automated Trading: Using automated trading software, robots, Expert Advisors (EAs), or algorithms on the Platform without prior written approval from PropaTrade;
(b) High-Frequency Trading (HFT): Using sophisticated algorithms to execute a large volume of orders in fractions of a second;
(c) Copy Trading from External Sources: Automatically replicating trades from external signal providers, other traders, or social trading platforms;
(d) Automated Scripts: Running any script, macro, or automated tool to interact with the Platform without authorisation.
Note: Contractors wishing to use legitimate algorithmic trading strategies must seek prior written approval from PropaTrade at [email protected].
2.2.4 Fraudulent and Manipulative Practices
(a) Account Sharing: Permitting any third party to access or trade on your account;
(b) Account Sale or Transfer: Selling, transferring, assigning, or disposing of your account to any third party;
(c) Account Management Services: Providing account management services whereby you trade on behalf of another Contractor;
(d) Third-Party Trading: Engaging any third party to execute trades on your account;
(e) Providing False Information: Providing false, misleading, or inaccurate information in applications, KYC submissions, support communications, or any interaction with PropaTrade;
(f) External Signal Following: Using external advisory services, tip providers, or trading groups to dictate trading decisions on the Platform.
2.2.5 Inconsistent and Gambling-Style Trading
(a) Drastic Volume Changes: Dramatically increasing or decreasing position sizes between Evaluation phases or between Evaluation and Consultant Account without justification;
(b) Gambling Behaviour: Placing excessively large positions relative to account size with the sole intent of passing the Evaluation through a single or few high-risk trades;
(c) Minimum-Lot Padding: Trading minimal lot sizes solely to meet the minimum trading days requirement without genuine trading intent;
(d) Rapid Completion with Inconsistency: Completing an Evaluation phase in 1–2 days solely through large speculative trades, followed by nominal activity on remaining days.
2.2.6 Trading Hours and Expiry Violations
(a) Trading Outside Permitted Hours: Trading outside the permitted hours of 9:20 AM to 3:25 PM IST (for BSE/NSE segments);
(b) Failure to Close Before Expiry: All option trades must be squared off before the applicable expiry date. Failure to square off option positions before expiry constitutes a Trading Rule violation.
2.3 Consequences of Prohibited Trading Practice Violations
2.3.1 Risk Limit Breaches (Daily Loss Limit, Maximum Loss Limit)
(a) Trading on the Contractor's account shall be disabled — the Contractor may still log in and view the dashboard, but cannot place new trades;
(b) No refund of the Commitment Fee shall be payable;
(c) The Contractor may apply for a new Evaluation attempt subject to PropaTrade's acceptance.
2.3.2 Fraud, Integrity Violations, and Serious Breaches
For violations involving fraud, Prohibited Trading Practices, integrity violations, or serious breaches of these Terms:
(a) Access to the Udaan platform and all related tools may be fully revoked;
(b) All pending and future Research Stipends shall be forfeited;
(c) PropaTrade may exercise clawback rights over previously paid Stipends;
(d) The Contractor may be permanently banned from all PropaTrade programs;
(e) PropaTrade may initiate legal proceedings as appropriate.
3. CONTENT GUIDELINES
3.1 When interacting with the Platform's community features, forums, chat, or support channels, you shall:
(a) Communicate respectfully and professionally;
(b) Not post content that is defamatory, obscene, abusive, harassing, threatening, discriminatory, or otherwise objectionable;
(c) Not post content that infringes the intellectual property rights of any third party;
(d) Not post content that is false, misleading, or deceptive;
(e) Not post content promoting illegal activities;
(f) Not post unsolicited advertisements, promotions, or spam;
(g) Not impersonate any person or entity;
(h) Not share trading signals, tips, or investment advice that could mislead other Contractors.
4. INTELLECTUAL PROPERTY RESTRICTIONS
4.1 You shall NOT:
(a) Copy, reproduce, modify, adapt, translate, or create derivative works of any Platform content, educational materials, or training resources;
(b) Distribute, publish, display, or transmit any Platform content without prior written authorisation;
(c) Remove, alter, or obscure any copyright, trademark, or proprietary notices;
(d) Scrape, crawl, index, or extract data from the Platform using automated tools;
(e) Use PropaTrade's trademarks, logos, trade names, or branding without authorisation;
(f) Reproduce or redistribute BSE/NSE market data obtained through the Platform;
(g) Record, screenshot, or capture educational content or webinars for redistribution.
4.2 The Udaan platform technology is operated under license from a third-party technology provider. The Contractor acknowledges that the Platform contains proprietary technology and agrees not to attempt to access, copy, or derive the source code or algorithms of the Platform.
5. CONSEQUENCES OF VIOLATIONS
5.1 Graduated Response
5.1.1 PropaTrade may, at its sole discretion, take one or more of the following actions upon detection of a violation:
(a) Warning: Issuance of a written warning for minor or first-time violations;
(b) Trade Exclusion: Exclusion of specific trades from trading history or disregarding their results in P&L calculations;
(c) Evaluation Failure: Deeming the current Evaluation phase unsuccessful;
(d) Trading Disabled: Disabling the ability to place new trades while maintaining dashboard access (for risk limit breaches);
(e) Account Suspension: Temporary suspension of account access pending investigation;
(f) Stipend Forfeiture: Forfeiture of pending or approved Research Stipends;
(g) Full Revocation: Permanent termination of the contractor engagement and full revocation of Platform access (for fraud, integrity violations, and serious breaches);
(h) Platform Ban: Permanent ban from all PropaTrade programs;
(i) Legal Action: Initiation of civil or criminal legal proceedings.
5.2 No Refund on Termination for Violation
5.2.1 Where a Contractor's engagement is terminated due to a violation of this Policy, the Contractor shall NOT be entitled to a refund of any Commitment Fees paid, nor to any pending Research Stipends.
5.3 Discretionary Authority
5.3.1 PropaTrade reserves the exclusive right to determine, acting reasonably and in good faith, whether a particular trade, practice, strategy, or situation constitutes a violation of this Policy.
5.4 Investigation
5.4.1 PropaTrade reserves the right to investigate any suspected violation. During an investigation, PropaTrade may suspend account access and withhold Research Stipend payments.
6. GEOGRAPHICAL RESTRICTIONS
6.1 Contractors from any country globally are eligible to participate, except residents of nations subject to comprehensive sanctions imposed by the United Nations Security Council.
6.2 Use of VPNs, proxies, or other tools to circumvent geographical restrictions or to obscure true location is a violation of this Policy.
7. NON-DISPARAGEMENT
7.1 During and after the contractor engagement, the Contractor agrees to refrain from making public statements that are materially false, misleading, or defamatory about PropaTrade, its programs, directors, officers, or employees.
7.2 This provision does not restrict the Contractor's right to file legitimate complaints with regulatory authorities (including SEBI), courts of competent jurisdiction, or other governmental bodies, which is recognised as a constitutionally protected right.
8. REPORTING VIOLATIONS
8.1 If you become aware of any violation of this Policy by another Contractor, you are encouraged to report it to:

8.2 Reports may be submitted anonymously. PropaTrade shall treat all reports confidentially and investigate them in good faith.
8.3 PropaTrade shall not retaliate against any Contractor who reports a violation in good faith.
9. UPDATES TO THIS POLICY
9.1 PropaTrade reserves the right to update this Policy at any time. Updated versions shall be published on the Platform, and material changes shall be communicated to Contractors via email.
9.2 Continued use of the Udaan platform after publication of an updated Policy constitutes acceptance of the updated terms.
